Terms and conditions
1. About these terms
These terms apply to every Cloud + AI Cost Review (the “review”) that GoodInfra provides, and to your use of this website.
GoodInfra works with businesses only. By booking a review, you confirm you are acting for a business and not as a consumer.
2. Who we are
GoodInfra is the trading name of Good Infrastructure Ltd, a company registered in England and Wales (company number [company number]).
You can contact us at support@goodinfra.co.
3. Your engagement confirmation
Before any work begins, we send you a written engagement confirmation. It sets out the agreed scope, the cloud accounts and model providers covered, the access method, the fee and the expected delivery date.
The engagement confirmation and these terms together form the contract between us. If the two conflict, the engagement confirmation takes priority.
4. Fees and payment
Reviews are priced from £2995. The fee for your review is fixed and stated in your engagement confirmation, and it does not change unless we both agree a change to the scope in writing.
- Payment terms: 100% of the fee is payable before work begins.
- Invoices are payable within 14 days of the invoice date.
- Prices [exclude VAT, which is added at the prevailing rate / are not subject to VAT].
We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Timing
We deliver the report within 7 days of receiving all the access and materials agreed in your engagement confirmation. If anything agreed is missing, the 7-day period starts when it arrives, and we tell your named contact what is outstanding.
We are not responsible for delays caused by access, materials or answers that arrive late.
6. Your responsibilities
- Provide the read-only access or exports agreed in your engagement confirmation.
- Make sure the information you share is accurate, and that you have the right to share it with us.
- Nominate one contact to answer questions during the review.
- Remove our access once the review is complete.
7. Access to your systems and data
The review uses read-only access or exports you produce yourself. We do not make changes to your environment, and we do not request write access.
We use your data only to carry out the review. We delete or return the data you share within 30 days of delivering the report, unless you ask us in writing to keep it longer.
8. The report and intellectual property
Once the fee is paid in full, you own the report and may use, copy and share it within your business.
We keep ownership of our methods, templates, tools and general know-how, including anything we developed before or outside your review. We may reuse general learning from our work, but never your confidential information.
9. Cost estimates and savings
Savings figures in the report are estimates. Each one shows its calculation, assumptions and limits, based on the data available during the review.
We do not guarantee any level of saving. Whether a saving is realised depends on the changes you choose to make, how you make them, and how your usage changes over time.
You are responsible for deciding which recommendations to implement, and for testing changes before rollout, including any effect on model quality, latency or reliability.
10. What the review does not include
Unless your engagement confirmation says otherwise, the review does not include implementing changes, ongoing cost monitoring, security testing, penetration testing or compliance certification. Further work can be agreed separately, under its own engagement confirmation.
11. Confidentiality
We keep confidential all non-public information you share with us, and use it only to carry out the review. This obligation continues after the review ends. It does not apply to information that is already public, that we receive lawfully from someone else, or that we must disclose by law.
If you need a separate non-disclosure agreement, we are happy to sign one before access is granted.
12. Data protection
Our privacy policy explains how we handle personal information as a controller.
If the materials you share contain personal data, such as names or email addresses in billing exports or usage logs, we process that data on your behalf as a processor, only on your instructions and only to carry out the review. We will sign a data processing agreement meeting the requirements of UK GDPR Article 28 on request.
13. Limitation of liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that, we are not liable for any loss of profit, revenue, savings or data, or for any indirect or consequential loss, and our total liability arising from a review is limited to the fee paid for that review.
14. Cancellation and rescheduling
You may cancel before we receive access, and we will refund any fee paid less a cancellation charge of £495. Once access has been received, the full fee is payable.
15. Testimonials and references
We will not name you as a client, or publish any quote from you, without your written permission.
16. Using this website
The content on this website is general information about our services and is not advice for your specific situation. We aim to keep it accurate, but we do not guarantee it is complete or current.
17. Changes to these terms
We may update these terms from time to time. The version in force when you accept your engagement confirmation applies to that review.
18. Governing law
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
19. Contact
